Terms of Use

Forbiz aggregates, organizes, formats, and makes searchable and downloadable business-entity information that is publicly available from the Florida Department of State, Division of Corporations (“Sunbiz”) and other government sources, including records made available through official bulk-data and public-records channels. Typical fields include entity name, document/registration number, entity status and type, principal and mailing addresses, registered agent name and address, officer and director names and addresses, and filing dates.

Forbiz adds value through collection, structuring, de-duplication, formatting, search, and delivery. Forbiz does not create the underlying records and does not warrant their accuracy or completeness. See Sections 7 and 8.

Forbiz is an independent, privately owned commercial service. Forbiz is not affiliated with, endorsed by, sponsored by, or operated by the State of Florida, the Florida Department of State, the Division of Corporations, Sunbiz, or any other government agency. All government names and marks are the property of their respective owners. The same information may be available directly from the applicable government source, often at little or no cost.

You must be at least 18 years old and able to form a binding contract. You agree to provide accurate registration information, keep your credentials confidential, and remain responsible for all activity under your account. You may not share, transfer, or resell account access.

• Plans. Access is sold on a subscription basis, available in monthly and annual plans, and/or on a per-download basis as described at checkout. Features, data volume, and limits are defined by your selected plan.
• Automatic renewal. Monthly and annual subscriptions automatically renew for successive periods of the same length at the then-current rate until you cancel. You may cancel at any time through your account; cancellation takes effect at the end of the current billing period, and you retain access until then.
• Payment. Payments are processed by our third-party payment processor, Stripe. You authorize us and Stripe to charge your payment method for all applicable fees, including renewals, until you cancel.
• No refunds. Except where required by law, all fees are non-refundable, and there are no refunds or credits for partial billing periods, unused data, or downgrades.
• Taxes and changes. Prices exclude applicable taxes. We may change pricing prospectively; any change applies as of your next renewal after we provide notice.

Subject to these Terms and your active subscription, Forbiz grants you a limited, non-exclusive, non-transferable, revocable license to access the Service and to use the data you download for your own internal business purposes, including marketing, research, and lead generation, in compliance with all applicable laws.

You agree that you will not, and will not permit any third party to:

• Resell or redistribute the data or any substantial portion of it, or use it to build, populate, or supplement a competing database or data-resale product, except to the limited extent expressly permitted by your plan.
• Use the data, in whole or in part, as a factor in establishing an individual's eligibility for credit, insurance, employment, housing, or any other purpose regulated by the federal Fair Credit Reporting Act (FCRA), 15 U.S.C. § 1681 et seq., or any comparable state law. Forbiz is not a consumer reporting agency and the data is not a consumer report.
• Use the data to contact any individual or entity in violation of applicable communications laws, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the Florida Telephone Solicitation Act, state and federal Do-Not-Call rules, and anti-spam and telemarketing laws. You are solely responsible for scrubbing against applicable suppression and Do-Not-Call lists and for obtaining any required consent.
• Use the data for unlawful, harassing, fraudulent, discriminatory, or deceptive purposes, or to enable identity theft, stalking, or harm to any person.
• Scrape, crawl, harvest, or use automated means to access the Service outside of features we expressly provide, circumvent access controls or rate limits, or exceed the volume permitted by your plan.
• Reverse engineer, interfere with, or disrupt the Service, or attempt to gain unauthorized access to any systems or accounts.

You are solely responsible for your use of the data and for ensuring your use complies with all applicable federal, state, and local laws. Violation of this Section is a material breach and may result in immediate suspension or termination without refund.

The data originates from third-party government records and may be incomplete, outdated, mis-keyed, or inaccurate. THE SERVICE AND ALL DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE, OR NON-INFRINGEMENT. Forbiz does not warrant that the data is accurate, current, or fit for any particular use, or that the Service will be uninterrupted or error-free. You are responsible for independently verifying any information, including against the official source at search.sunbiz.org, before relying on it.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORBIZ AND ITS OWNERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THE DATA, EVEN IF ADVISED OF THE POSSIBILITY. FORBIZ'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO FORBIZ IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.

You agree to indemnify, defend, and hold harmless Forbiz and its owners, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or data, your violation of these Terms, or your violation of any law or third-party right, including any claim arising from your marketing, outreach, screening, or other use of the data.

Individual factual records sourced from public government filings are not owned by Forbiz. However, the Forbiz name, logo, website, software, compilation, selection, arrangement, formatting, and presentation of data are owned by Forbiz or its licensors and are protected by applicable law. Except for the limited license in Section 5, no rights are granted to you.

The Service relies on third-party providers (for example, hosting, Stripe for payment processing, and hCaptcha and analytics). Your use of those features may be subject to the providers' own terms and privacy policies.

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, for any violation of these Terms or for any conduct we reasonably believe is unlawful or harmful. Sections that by their nature should survive termination will survive, including Sections 6 through 10, 13, 14, and 15.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Subject to the arbitration agreement in Section 14, the exclusive venue for any dispute will be the state or federal courts located in Broward County, Florida, and you consent to personal jurisdiction there.

Please read this Section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have disputes decided by a jury.

• Agreement to arbitrate. You and Forbiz agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a “Dispute”) that cannot be resolved informally will be resolved exclusively by final and binding individual arbitration, rather than in court, except as provided below.
• Informal resolution first. Before starting arbitration, you agree to first contact us at support@forbiz.ai and give us 30 days to resolve the Dispute informally.
• Rules and forum. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be held in Broward County, Florida, or conducted by telephone or video where available, and the arbitrator's decision may be entered as a judgment in any court of competent jurisdiction.
• Class-action waiver. All claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
• Jury-trial waiver. You and Forbiz waive any right to a jury trial for any Dispute subject to this Section.
• Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect intellectual-property or unauthorized-access matters.
• 30-day opt-out. You may opt out of this Section 14 by emailing support@forbiz.ai within 30 days of first accepting these Terms, stating your name, account email, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
• Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court; the remainder of this Section will continue to apply.

We may update these Terms from time to time. Material changes will be posted here with an updated effective date and, where appropriate, notified to you. Your continued use of the Service after changes take effect constitutes acceptance.
